Anotace
Publikace pojednává o právní úpravě akciové společnosti od jejího založení a vzniku, přes fungování samotné společnosti, jejích orgánů a jejich členů, včetně práv a povinností akcionářů, úpravy akcií, problematiky základního kapitálu a jeho změn, až po zrušení společnosti a její zánik. Rozbor příslušných ustanovení právních předpisů je doplněn odkazy na relevantní judikaturu a rovněž odkazy na řešení rozebíraných problému v jiných právních textech. Publikace zahrnuje i výklad právní úpravy akciové společnosti ve znění zákona č. 416/2022 Sb., přestože ke dni jejího dokončení ještě všechna ustanovení předmětné novely nenabyla účinnosti.
Překlad anotace
The publication deals with the legal regulation of a joint-stock company from its establishment and formation, through the functioning of the company itself, its bodies and their members, including the rights and obligations of shareholders, the regulation of shares, the issue of share capital and its changes, to the dissolution of the company and its termination. The analysis of the relevant legal provisions is supplemented by references to relevant case law as well as references to the treatment of the issues discussed in other legal texts. The publication also includes an interpretation of the legal regulation of the joint stock company as amended by Act No. 416/2022 Coll., even though at the date of its completion not all the provisions of the amendment in question had yet come into force.
