Příspěvek se zabývá otázkou role zástupců zaměstnanců v dozorčích radách obchodních korporací, především pak významem kodeterminace pro corporate governance a to s ohledem na imanentní střet zájmů, v němž se zástupci zaměstnanců nutně ocitají.

The paper deals with the role of employees' representatives in supervisory boards of business corporations, especially with the importance of codetermination for corporate governance with regard to immanent conflicts of interest, in which employees' representatives are inevitably found.
