Description in English The paper analyzes the duty of care of a proper manager as the main principle of general fiduciary duties that the new Civil Code reflects in the regulation of the administration of property of others. According to the authors, these rules also apply to the status of members of bodies of legal entities. They mention the concept of a private office. They argue that liability for the breach of duty of care is in the nature of liability for fault, which, however, is objectivized in the realm of business corporations by a specific provisions on the business judgment rule.
