Text analyzuje a hodnotí monografii věnovanou skupině důležitých otázek korporačního práva. Recenzent hodnotí dílo kladně jako příspěvek do diskuse k tématu. Má ale dílčí kritické poznámky k metodě. Také nesouhlasí s některými jednotlivými závěry autorky díla. V recenzi podrobněji poukazuje na problematiku loajality a konfliktu zájmů a na spornou otázku povahy zastoupení právnické osoby členem jejího orgánu.

The text analyses and reviews a monograph tackling a host of pivotal corporate law issues. The review considers the monograph a valid contribution to the discussion about the topic at hand, but is critical of its method and some conclusions of the monograph’s author. The review highlights the issue of loyalty vs conflict of interests, and the controversy surrounding the representation of a legal entity by a member of its body.
