Příspěvek analyzuje požadavek péče řádného hospodáře jako hlavního principu obecných fiduciárních povinností, které nový občanský zákoník reflektuje v úpravě správy cizího majetku. Podle autorů se tato pravidla uplatní i na postavení členů orgánů právnických osob. Zmiňují koncept soukromého úřadu. Argumentují, že odpovědnost za porušení péče řádného hospodáře má charakter odpovědnosti za zavinění, která je však v oblasti obchodních korporací objektivizována v důsledku specifické úpravy pravidla podnikatelského úsudku (business judgment rule).

The paper analyzes the duty of care of a proper manager as the main principle of general fiduciary duties that the new Civil Code reflects in the regulation of the administration of property of others. According to the authors, these rules also apply to the status of members of bodies of legal entities. They mention the concept of a private office. They argue that liability for the breach of duty of care is in the nature of liability for fault, which, however, is objectivized in the realm of business corporations by a specific provisions on the business judgment rule.
