Příspěvek se zabývá postavením výboru pro audit v kontextu zákona o obchodních korporací a Kodexu správy a řízení společností ČR z roku 2018. Upozorňuje na odlišné postavení výboru pro audit v rámci dualistického systému oproti monistickému systému vnitřní struktury obchodní korporace a na odlišnosti mezi výborem pro audit coby orgánu korporace a výborem pro audit coby pouhého (poradního) výboru. Tyto rozdíly pak podrobuje kritice. Též se zabývá dalšími nejasnostmi vyplývajícími z právní úpravy, která přes několikeré novelizace zůstává značně nejasná.

The paper deals with the position of the audit committee in the context of the Business Corporations Act and the Code of Corporate Governance of the Czech Republic from 2018. It draws attention to the different position of the audit committee within the dualist system of corporation`s internal structure in contrast with monistic system and to differences in concept of the audit committee as a corporate body and the audit committee as a mere (advisory) committee. These differences are criticized. The paper also deals with other uncertainties arising from the legislation, which, despite several amendments, remains largely unclear.
