Kapitola o klimatické „odpovědnosti“ obchodních společností poskytuje základní přehled o roli korporací v přechodu na nízkouhlíkovou budoucnost, včetně zkoumání otázek jaké povinnosti jsou obecně korporacím ve spravedlivé tranzici kladeny a jak je jejich případná odpovědnost vymáhána. Kapitola se zaměřuje na hlavní směry právní úpravy EU. Mimo jiné zkoumá informační povinnosti společností v otázkách klimatické změny, povinnosti náležité péče podniků v oblasti udržitelnosti, evropskou taxonomii a využití nástrojů korporátního práva k vymáhání klimatických povinností jako je tzv. akcionářský aktivismus (shareholder activism) či odpovědnost členů statutárních orgánů. Krátce se také věnuje klimatickým žalobám proti korporacím, kde primární roli hrají soudy (například rozhodnutí v případech Shell nebo Lliuya).

The Chapter on corporate climate responsibility provides a basic overview of the role of corporations in the transition to a low-carbon future, including an examination of the questions of what obligations are generally imposed on corporations in a just transition and how their potential responsibilities are enforced. The chapter focuses on the main lines of EU legislation. It examines, among other things, companies' disclosure obligations on climate change and their adverse impacts, corporate sustainability due diligence obligations, the EU taxonomy and the use of corporate law tools to enforce climate obligations such as shareholder activism and directors' liability. It also briefly discusses climate change litigation against corporations where the courts play a primary role (e.g. the Shell and Lliuya decisions).
